Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to the UniDevs website and any services we provide. By using the site or engaging UniDevs, you agree to these Terms. If you do not agree, please do not use the site.

2. Our services

UniDevs is a software studio providing product strategy, design, engineering, cloud operations, and ongoing support. Specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written proposal or statement of work, which prevails over these Terms where they conflict.

3. Engagements & payment

Unless a proposal states otherwise, fees are quoted exclusive of applicable taxes and invoiced on the milestones agreed in that proposal. Invoices are due within 14 days. We may pause work on overdue accounts after reasonable notice.

4. Intellectual property

On full payment for an engagement, you own the deliverables created specifically for you. UniDevs retains ownership of its pre-existing tools, libraries, and know-how, and grants you a perpetual licence to use them as embedded in your deliverables. Either party may describe the engagement in general terms for portfolio purposes unless agreed otherwise in writing.

5. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only to perform the engagement. This obligation survives termination.

6. Warranties & disclaimer

We perform our services with reasonable skill and care. Except as expressly stated in a signed agreement, the website and services are provided "as is" without warranties of any kind, to the extent permitted by law.

7. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and each party’s total liability arising from an engagement is limited to the fees paid for that engagement in the 12 months preceding the claim. Nothing limits liability that cannot be limited by law.

8. Term & termination

Either party may terminate an engagement with written notice as set out in the relevant proposal. On termination you will pay for work performed up to the termination date.

9. Changes

We may update these Terms from time to time. Material changes will be reflected by the "last updated" date below; continued use of the site after changes constitutes acceptance.
